You will lose your data, but that can be gained back if you:
A: Backup with iTunes | see here
B: Backup with iCloud | see here
Plug your phone into a Mac/PC with iTunes.
Power off your phone
Press and hold the sleep/wake button and the home button simultaneously for 10 seconds
Release the sleep/wake button, but keep holding the home button for about 5 seconds
iTunes will say “detected an iPhone in recovery mode”
click “Restore”.
To regain your data from iCloud after the restore click here
To regain your data from iTunes after the restore click here

I guess for this, most probably is locked due to multiple incorrect password attempts.
One way is to force it to recovery mode and wipe all out, although data will be loss.
To put your iPhone 4 or 3GS into Device Firmware Update (DFU) mode:
1. Connect your iPhone to the computer and start iTunes.
2. Turn off your iPhone by holding down the Sleep button and slide to power off.
3. Press and hold down the Sleep button and Home button simultaneously.
4. After 10 seconds release the Sleep button but continue to hold the Home button down.
5. iTunes will pop up a window that says it has "detected an iPhone in recovery mode."
Your device is now in DFU mode and can be restored using iTunes. The iPhone screen will remain black until iTunes restores the iPhone.
